1. ACCEPTANCE OF THESE TERMS

These Terms of Service ("Terms") govern your access to and use of the website located at all-procabinets.com (the "Site"), operated by All-Pro Cabinets Corp ("All-Pro Cabinets," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

You may use the Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates any applicable law or regulation

• Use any automated system to access the Site in a manner that sends more requests than a human could reasonably produce

We may suspend or terminate access to the Site for any user who violates these Terms.

4. PRODUCTS, QUOTES, AND ESTIMATES

Information on the Site about our cabinets, materials, finishes, and services is provided for general informational purposes. Product images, samples, and descriptions are representative; actual wood grain, color, and finish may vary between production runs and between the samples shown and the goods delivered.

Any quote or estimate we provide is not an offer capable of acceptance and does not create a binding contract. Quotes are valid for the period stated on the quote and are subject to product availability and to verification of measurements. A binding agreement is formed only when a written order, sales agreement, or invoice is executed by both parties.

5. PRICING, ORDERS, AND PAYMENT

Prices are subject to change without notice until an order is confirmed in writing. The terms governing your specific purchase — including deposits, payment schedules, lead times, delivery, cancellation, returns, and warranty — are set out in the written sales agreement or invoice for that order. In the event of a conflict between these Terms and a signed sales agreement, the sales agreement controls.

6. COMMUNICATIONS AND TEXT MESSAGING

We may contact you by telephone at the number you provide in connection with your inquiry, quote, or order.

We send text messages only to customers who have separately given express consent to receive them, as described in Section 5 of our Privacy Policy. Providing your telephone number to us does not by itself constitute consent to receive text messages, and consent to receive text messages is not a condition of purchasing any goods or services from us.

Text messages are sent by All-Pro Cabinets Corp. Message frequency varies, and message and data rates may apply. You may reply STOP at any time to opt out; we also honor END, CANCEL, UNSUBSCRIBE, and QUIT. Reply HELP for assistance, or call us at 904-730-3101. Your mobile carrier is not liable for delayed or undelivered messages.

7. YOUR SUBMISSIONS

If you submit measurements, drawings, photographs, project descriptions, reviews, or other content to us through the Site or otherwise, you represent that you have the right to do so and that the content does not infringe the rights of any third party.

You grant us a non-exclusive, royalty-free, perpetual license to use that content for the purpose of preparing quotes, fulfilling your order, and maintaining our business records. If you submit a review, testimonial, or photographs of completed work, you also grant us the right to publish that content, together with your first name and city, in our project galleries and marketing materials. You may ask us to remove such content at any time by contacting us.

8. INTELLECTUAL PROPERTY

The Site and its contents — including text, graphics, logos, photographs, project galleries, and design layouts — are owned by All-Pro Cabinets Corp or its licensors and are protected by United States copyright and trademark law.

You may view and print pages from the Site for your own personal, non-commercial use. Any other use, including reproduction, distribution, modification, or republication, requires our prior written permission.

9. THIRD-PARTY LINKS

The Site may contain links to third-party websites. These links are provided for convenience only. We do not control and are not responsible for the content, products, or practices of any third-party site, and a link does not imply our endorsement.

10. DISCLAIMER OF WARRANTIES

Except as expressly provided in a written sales agreement or a written product warranty, the Site and all information on it are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that information on the Site is complete, accurate, or current.

Nothing in this section limits or excludes any warranty that cannot be limited or excluded under applicable law.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, All-Pro Cabinets Corp and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to your use of the Site, whether based in contract, tort, or any other legal theory.

Our total liability arising out of or relating to your use of the Site will not exceed one hundred U.S. dollars ($100). This limitation does not apply to liability arising under a written sales agreement for goods or services, which is governed by the terms of that agreement.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, gross negligence, personal injury, or any other liability that cannot be excluded or limited under Florida law.

12. INDEMNIFICATION

You agree to indemnify and hold harmless All-Pro Cabinets Corp and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of the rights of any third party.

13. ACCESSIBILITY

We are committed to making our Site usable by as many people as possible. 14. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to the jurisdiction of those courts.

15. SEVERABILITY AND ENTIRE AGREEMENT

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Site. They do not replace or modify any written sales agreement between you and us regarding the purchase of goods or services.

16. CHANGES TO THESE TERMS

We may revise these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

CUSTOMER TERMS AND CONDITIONS (PROJECTS IN FLORIDA AND MASSACHUSETTS)

1) ACCEPTANCE

By purchasing our products or services, you agree to these Customer Terms and Conditions. Quotes, invoices, and project-specific agreements may include additional terms that supplement or supersede these Terms.

2) QUOTES AND PRICING

Quotes and estimates are valid for the period shown on the document. Pricing may vary by style, finish, dimensions, options, and market conditions. Taxes, delivery, assembly, installation, and special materials are itemized when applicable.

3) ORDERS, DEPOSITS AND SCHEDULING

A deposit (percentage indicated on the quote or invoice) is required to start an order. Scheduling is coordinated after the deposit and material availability are confirmed. If scheduling is delayed due to late payment, material changes, or site readiness, installation dates may shift accordingly.

4) SITE READINESS AND ACCESS

The client or general contractor is responsible for site readiness (clear access, utilities where needed, level and plumb surfaces where specified). If site conditions prevent completion, we may reschedule and assess additional trip charges.

5) CHANGES AFTER ORDER

Design or layout adjustments requested after the order may incur additional charges and revised timelines. Any change orders must be confirmed in writing (email is acceptable).

6) DELIVERY, ASSEMBLY AND INSTALLATION

Our scope typically includes delivery, assembly, and installation per the invoice or contract. We photograph items at delivery and installation for quality assurance and proof of condition. If other crews cause damage after our completion, additional trip, labor, or material charges may apply.

7) INSPECTION AND SIGN-OFF

Upon completion, the client or general contractor must inspect the work. Any issues should be reported within three (3) days of completion so we can address them promptly.

8) WARRANTY

Our warranty covers damages during transit, delivery, installation, and assembly for one (1) year from purchase, including corrections for incorrect measurements or modifications needed during installation. Exclusions include improper installation by others, natural material variations, misuse, accidents, and events outside our control (for example, floods or fires). Warranty claims must be reported within three (3) days of installation completion. A standard trip charge (for example, $200) applies for inspection visits unless otherwise stated. If there is a conflict with the posted Warranty page, the posted Warranty governs.

9) RETURNS AND RESTOCKING

Returns require prior authorization. Restocking fees may apply for non-defective items; custom and special-order materials are typically non-returnable.

10) PHOTOGRAPHY AND MARKETING

We may photograph finished installations for quality assurance and portfolio or marketing purposes. If you prefer not to be featured, notify us in writing before installation.

11) LIMITATION OF LIABILITY

To the fullest extent permitted by law, our liability is limited to the amounts paid for the specific products or services giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

12) FORCE MAJEURE

We are not responsible for delays or failures caused by events beyond our reasonable control (for example, extreme weather or supply chain disruptions).

13) GOVERNING LAW

These Customer Terms are governed by the laws of the State of Florida for projects in Florida and the Commonwealth of Massachusetts for projects in Massachusetts, without regard to conflict-of-laws rules.

14) DISPUTE RESOLUTION

We aim to resolve issues informally first. If we cannot, the parties may seek relief in a court of competent jurisdiction where the project is located.

15) CHANGES TO THESE TERMS

We may update these Customer Terms from time to time. Continued use of our services means you accept the updated Terms.
